Terms of Service

By downloading, installing, or using Wisprnote AI ("the App," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the App.

These terms apply to the desktop application (macOS), any associated cloud services, and the website at wisprnote.ai.

Wisprnote AI is a desktop meeting intelligence application that provides:

• Audio recording and transcription of meetings
• AI-powered summarization, topic extraction, and action-item identification
• Interactive knowledge graph for cross-meeting insights
• AI chat interface for querying meeting history
• Rich notebook editing, export (Markdown, DOCX, PPTX), and sharing features
• Cloud sync and storage via Supabase (for authenticated users)

You must be at least 16 years of age to use the App. By using the App, you represent that you meet this minimum age requirement and have the legal capacity to enter into these terms.

Certain features require a Supabase-authenticated account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to notify us immediately of any unauthorized use of your account.

Wisprnote AI offers free and paid subscription tiers. Paid subscriptions are processed through Paddle, our Merchant of Record.

• Prices are displayed exclusive of applicable taxes, which Paddle calculates and collects based on your location.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled.
• You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
• Paddle handles all invoicing, receipts, and payment disputes on our behalf.

You agree not to:

• Record conversations without the consent of all participants where required by law
• Use the App for any unlawful, harmful, or fraudulent purpose
• Reverse-engineer, decompile, or disassemble the App or its components
• Circumvent any security or access controls
• Distribute, sublicense, or resell the App or any part of it
• Use the App to infringe on any third-party intellectual property rights

Wisprnote AI, its design, code, trademarks, and branding are owned by us and protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the App.

You retain ownership of all content you create, upload, or process through the App (recordings, transcripts, notes, exports).

Your privacy is fundamental to our product. Please review our Privacy Policy for details on how we collect, store, and protect your data.

Recordings and transcripts are stored locally on your device by default. Cloud sync is opt-in and encrypted.

The App integrates with third-party services including Deepgram (transcription), Google GenAI / OpenRouter (AI processing), and Supabase (cloud storage). Each service is governed by its own terms and privacy policy. We are not responsible for the practices of these providers.

The App is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

• Transcriptions or AI-generated summaries will be 100% accurate
• The App will be uninterrupted, error-free, or secure
• The App will meet your specific requirements

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or inability to use the App.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

We may update these terms from time to time. Material changes will be communicated via the App or email. Continued use after changes constitutes acceptance of the updated terms.

We may suspend or terminate your access if you violate these terms. Upon termination, your right to use the App ceases, but these terms survive to the extent necessary.

These terms are governed by the laws of the jurisdiction in which we are incorporated, without regard to conflict of law principles.
